4. Procedure for Drawing Up the Division of the Register of Shareholders

If no deficiencies are identified in the documents submitted by the transferee of shares, a state notary of the Register of Enterprises shall send a request to the company's executive board to provide information as to whether the division of the register of shareholders has been drawn up or whether reasoned objections to the making of the entry have been raised. In the request, the Register of Enterprises asks the executive board to draw up and submit to the Register of Enterprises the current division of the register of shareholders of the company. If the executive board submits, within the time period specified in the request of the Register of Enterprises, the current division of the register of shareholders containing an entry regarding the change of ownership of shares, the division drawn up by the executive board shall be added to the company's registration file.

If the executive board does not respond to the request for information, responds without enclosing the current division of the register of shareholders, or does not indicate reasoned objections, a state notary of the Register of Enterprises shall make the relevant entry in the register of shareholders of the company by drawing up a new division of the register of shareholders. One copy of the division shall be added to the company's registration file, and the other copy shall be sent to the company at its legal address. If the company has no executive board, the Register of Enterprises shall not send the company a request to draw up the division or provide an opinion.
