2. Equity Capital

Equity capital consists of money and other assets expressed in monetary value that are contributed to a capital company for the commencement and continuation of its business activities.


Requirements:

  • the equity capital may be increased by making a cash contribution. If the equity capital does not exceed EUR 50,000 after the increase, the executive board shall certify payment of the equity capital in application form KR18. If the equity capital exceeds EUR 50,000 after the increase, a statement issued by the payment service provider or another document evidencing payment of the equity capital must be submitted;
  • the equity capital may be increased by making a property contribution;
  • by incorporating, in whole or in part, the positive difference between the equity capital and the amount consisting of the equity capital and reserves which, in accordance with the law, may not be used for the increase of the equity capital;
  • by incorporating the statutory reserve into the equity capital, in whole or in part.

The executive board has the right to evaluate the property contribution and provide an opinion on valuation of property:

  1. if a claim against the company arising from a loan agreement for the payment of a specified sum of money is contributed to the company's equity capital and such claim expires by merger when transferred to the company (debt capitalisation);
  2. if another type of property contribution is contributed to the company's equity capital and the total value of the property contributions does not exceed EUR 50,000.

The property contribution shall be valued at the ordinary value of the relevant asset or right, unless other methods for the valuation of the property contribution are used.
